Terms of service

These terms apply to services provided by Genartml Private Limited. The signed proposal for each project sets out its scope, price and delivery date, and takes priority over these terms where they differ.
Scope and changes
We deliver the deliverables listed in the signed proposal. Work outside that scope is quoted as a fixed-price change request and starts only after your written approval.
Timelines
Delivery dates are counted in working days (Monday to Saturday, excluding public holidays) from the day the first payment clears and your content and access are ready. If content, access or feedback is more than 5 working days late, the date moves by the same number of days.
Payment
Payment follows the milestones in the proposal. Indian clients pay 18% GST. International clients are invoiced in US dollars with no Indian GST. Work pauses after an invoice is 15 days overdue, and source code is handed over after full payment.
Ownership
Full ownership of the code, designs and content passes to you on final payment. Genartml keeps its reusable internal tools and gives you a permanent licence to use them inside the delivered system.
Confidentiality
Each side keeps the other's confidential information private. A mutual NDA is available on request at no charge.
Support
Each package includes free bug fixes for the period shown in the proposal, starting on go-live. Ongoing support is available through a Care plan.
Liability
Our total liability for any project is limited to the fees paid for that project. We are not liable for costs charged by third-party platforms or for losses caused by those platforms.
Governing law
These terms are governed by the laws of India, and the courts in Ahmedabad, Gujarat have jurisdiction.
